CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted by CNOOC and Shell Petrochemicals Company Limited (hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC HuizhouPhase 3 Ethylene Project by International Competitive Bidding. 3. 對(duì)投標(biāo)人的資格和業(yè)績(jī)要求：

（1）資格要求

A．如果投標(biāo)人為境內(nèi)注冊(cè)公司，投標(biāo)人需提供合法有效的企業(yè)法人營(yíng)業(yè)執(zhí)照、稅務(wù)登記證及組織機(jī)構(gòu)代碼證或證照合一的營(yíng)業(yè)執(zhí)照，投標(biāo)時(shí)需提供原件掃描件（原件備查）；
如果投標(biāo)人為境外注冊(cè)公司，需提供有效的公司登記注冊(cè)證明；
A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combined certificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);
The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.
B. 投標(biāo)人應(yīng)為本次投標(biāo)所投產(chǎn)品的制造商或代理商；如投標(biāo)人為制造商同一集團(tuán)負(fù)責(zé)銷(xiāo)售投標(biāo)所投產(chǎn)品的全資子公司、控股子公司（投標(biāo)人應(yīng)提供制造商或其上級(jí)公司證明上述事項(xiàng)的證明文件），則視投標(biāo)人為制造商。投標(biāo)產(chǎn)品由制造商不同工廠(chǎng)生產(chǎn)且使用相同品牌時(shí)，予以接受。
如果投標(biāo)人按照合同提供的貨物不是投標(biāo)人自己制造的，投標(biāo)人應(yīng)得到貨物制造商同意其在中國(guó)為本次投標(biāo)提供該貨物的合法正式授權(quán)。投標(biāo)人將被授權(quán)的貨物再授權(quán)給其他投標(biāo)人同時(shí)參與投標(biāo)的，相關(guān)的所有投標(biāo)將被拒絕。
對(duì)于從中華人民共和國(guó)關(guān)境內(nèi)供貨的貨物，不接受代理商投標(biāo)；對(duì)于從中華人民共和國(guó)關(guān)境外供貨的貨物，接受代理商投標(biāo)。
對(duì)于投標(biāo)文件中提供制造商授權(quán)書(shū)的中標(biāo)候選人，中標(biāo)候選人公示期間將公示其制造商授權(quán)信息。投標(biāo)文件中提供制造商授權(quán)書(shū)（模板見(jiàn)第一冊(cè)格式IV-9-4）的中標(biāo)候選人應(yīng)在中標(biāo)候選人公示后3個(gè)工作日內(nèi)將制造商授權(quán)書(shū)原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達(dá)招標(biāo)人聯(lián)系人進(jìn)行核驗(yàn)，對(duì)于國(guó)外制造商授權(quán)書(shū)原件，建議投標(biāo)人提前準(zhǔn)備以滿(mǎn)足核驗(yàn)原件期限要求。投標(biāo)文件中提供的制造商授權(quán)書(shū)可在制造商官方網(wǎng)站上查詢(xún)并核驗(yàn)一致的或紙質(zhì)投標(biāo)已遞交制造商授權(quán)書(shū)原件的，可免于送交原件核驗(yàn)。核驗(yàn)結(jié)果不一致的，將按照提供虛假投標(biāo)資料處理；未能在規(guī)定期限內(nèi)提供原件的，將視為不如實(shí)提供材料處理。上述兩類(lèi)情況將取消中標(biāo)候選人資格及中標(biāo)資格，并按照中國(guó)海油相關(guān)制度規(guī)定給予禁用等處理。
B. The bidder shall be either the manufacturer or authorized agent of the products offered in this bid. If the bidder is a wholly-owned or holding subsidiary of the manufacturer (responsible for sales of the offered products within the same group), the bidder shall be treated as the manufacturer upon submission of proof documents issued by the manufacturer or its parent company. Products manufactured by different factories under the same brand name are acceptable.
If the goods provided under the contract are not manufactured by the bidder, the bidder must obtain legitimate formal authorization from the manufacturer to supply such goods for this bidding process in China. Any subsequent re-authorization of the goods by the authorized bidder to other bidders for concurrent participation shall result in rejection of all related bids.
For goods supplied from within the territory of the People's Republic of China, agent bids are not accepted; for goods supplied from outside the territory of China, agent bids are permitted.
For shortlisted bidders submitting manufacturer authorization letters in their bid documents, such authorization information will be disclosed during the candidate announcement period. Shortlisted bidders who provide manufacturer authorization letters (template see Format IV-9-4 in Volume I) must submit the original document (signed, stamped, or affixed with the official seal in hardcopy – scanned/printed copies are unacceptable) to the bid contact person for verification within 3 working days after the announcement. For foreign manufacturer authorization letters, bidders are advised to prepare in advance to meet the verification deadline. Submission of original documents may be waived if the authorization letter can be verified on the manufacturer's official website or if the hardcopy bid already includes the original.Inconsistencies in verification will be treated as submission of false bidding materials; failure to provide the original within the stipulated period will be deemed as providing inaccurate information. In either case, the bidder's shortlisted status and award qualification will be revoked, and further penalties (e.g., disqualification) may apply in accordance with CNOOC's relevant regulations.

（2）資質(zhì)要求Qualification Requirement
投標(biāo)人必須提供制造商有效期內(nèi)的《中華人民共和國(guó)特種設(shè)備生產(chǎn)許可證》，投標(biāo)產(chǎn)品在有效期內(nèi)的《特種設(shè)備型式試驗(yàn)證書(shū)》(TSX證書(shū))。特種設(shè)備型式試驗(yàn)證書(shū)在類(lèi)別、公稱(chēng)壓力、公稱(chēng)尺寸和溫度范圍能夠覆蓋招標(biāo)物資。（證書(shū)中制造單位名稱(chēng)、地址和投標(biāo)產(chǎn)品的制造單位名稱(chēng)、地址應(yīng)一致）。
The bidder must provide the manufacturer's valid "People's Republic of China Special Equipment Production License" and the valid "Special Equipment Type Test Certificate" (TSX Certificate) for the bid products. The certificate must cover the required product category, nominal pressure, nominal size, and temperature range specified in the bidding materials. Additionally, the manufacturer's name and address on the certificate must strictly match those of the bid product's manufacturer.
（3）業(yè)績(jī)要求Requirement for Bidder's reference:
2015年1月1日至投標(biāo)截止日（以合同簽署時(shí)間為準(zhǔn)），投標(biāo)產(chǎn)品制造商應(yīng)具有至少2個(gè)合同不少于4套一體式減溫減壓器的合同業(yè)績(jī)，該業(yè)績(jī)或提供的其他業(yè)績(jī)中至少包含1臺(tái)入口×出口尺寸不低于16寸×20寸的一體式減溫減壓器和一臺(tái)公稱(chēng)壓力不低于CL600的一體式減溫減壓器。（入口×出口尺寸不低于16寸×20寸的一體式減溫減壓器和一臺(tái)公稱(chēng)壓力不低于CL600的一體式減溫減壓器，可在投標(biāo)的一個(gè)合同業(yè)績(jī)體現(xiàn)，也可在投標(biāo)的不同合同業(yè)績(jī)中體現(xiàn)）。
同一集團(tuán)全球范圍內(nèi)不同制造商（即同一集團(tuán)旗下的全資子公司或控股子公司或制造工廠(chǎng)）制造的所投產(chǎn)品的業(yè)績(jī)，視為投標(biāo)人所投產(chǎn)品的制造商的業(yè)績(jī)；投標(biāo)人應(yīng)提供說(shuō)明函，說(shuō)明本次所投產(chǎn)品的制造商與滿(mǎn)足上述業(yè)績(jī)要求的產(chǎn)品制造商屬于同一集團(tuán)。
若投標(biāo)人為所投產(chǎn)品的代理商，則除以上業(yè)績(jī)要求外，還需具有近三年（以投標(biāo)截止時(shí)間為準(zhǔn)）至少1個(gè)合同的閥門(mén)銷(xiāo)售業(yè)績(jī)，并提供相關(guān)業(yè)績(jī)證明文件。
From January 1, 2015, until the bid submission deadline (based on the contract signing date), the manufacturer of the bidding product must have at least 2 contracts for no less than 4 sets of integrated desuperheaters and pressure reducing valves. Among these contracts or other provided records, there must be at least one integrated desuperheater and pressure reducing valve with an inlet × outlet size of no less than 16 inches × 20 inches, and one integrated desuperheater and pressure reducing valve with a nominal pressure of no less than CL600. (The integrated desuperheater and pressure reducing valve with an inlet × outlet size of no less than 16 inches × 20 inches and the one with a nominal pressure of no less than CL600 can be shown in a single contract record for the bid or in different contract records.)
The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.
If the bidder is an agent for the bid product, in addition to the above performance requirements, they must also have at least one valve sales contract performance in the past three years (as of the bid deadline) and provide the relevant performance documentation.
如果投標(biāo)人為制造商所在集團(tuán)內(nèi)負(fù)責(zé)銷(xiāo)售的公司，應(yīng)提供該制造商的業(yè)績(jī)。
投標(biāo)人須按規(guī)定格式提交業(yè)績(jī)表，并提交相關(guān)業(yè)績(jī)證明文件。業(yè)績(jī)證明文件包括：銷(xiāo)售合同和技術(shù)協(xié)議（買(mǎi)賣(mài)雙方及設(shè)計(jì)院三方簽字的技術(shù)協(xié)議）。投標(biāo)人所提交的業(yè)績(jī)證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時(shí)間、合同簽署頁(yè)（國(guó)內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國(guó)際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱(chēng)、貨物名稱(chēng)、貨物數(shù)量、入口尺寸、出口尺寸、壓力等級(jí)、閥門(mén)型式。
若業(yè)績(jī)合同為年度協(xié)議，除提供年度協(xié)議外，還應(yīng)提供相應(yīng)的已到貨訂單，訂單內(nèi)容或編號(hào)應(yīng)與年度協(xié)議相關(guān)聯(lián)。同一個(gè)年度協(xié)議下提供1個(gè)或以上的訂單及與訂單對(duì)應(yīng)的到貨驗(yàn)收材料均算為1個(gè)有效業(yè)績(jī)。
若投標(biāo)人為所投產(chǎn)品的代理商，則除上述相關(guān)業(yè)績(jī)證明文件外，還需提供近三年閥門(mén)銷(xiāo)售業(yè)績(jī)的證明文件。業(yè)績(jī)證明文件包括：銷(xiāo)售合同及技術(shù)協(xié)議（買(mǎi)賣(mài)雙方及設(shè)計(jì)院三方簽字的技術(shù)協(xié)議）。投標(biāo)人所提交的業(yè)績(jī)證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時(shí)間、合同簽署頁(yè)（國(guó)內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國(guó)際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、賣(mài)方名稱(chēng)、貨物名稱(chēng)。
If the bidder is a sales company within the manufacturer's group, the manufacturer's performance shall be provided.
Bidders must submit a performance list in the prescribed format and provide relevant performance proof documents. The performance proof documents include: sales contracts and technical agreements (technical agreements signed by both the buyer and the seller, as well as the design institute). The performance proof documents submitted by the bidder must at a minimum include the following information: contract signing date, contract signature page (domestic trade contracts should have stamps from both parties, international trade contracts should have signatures or stamps from both parties), manufacturer name, product name, product quantity, inlet size, outlet size, pressure rating, and valve type.
If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidence under the same annual agreement is considered as one valid performance.
If the bidder is an agent for the product being tendered, in addition to the relevant performance certification documents mentioned above, it is also necessary to provide proof of valve sales performance for the past three years. Performance certification documents include sales contracts and technical agreements(technical agreements signed by both the buyer and the seller, as well as the design institute). The performance certification documents submitted by the bidder must at least include the following information: contract signing date, contract signature page (domestic trade contracts should be stamped by both parties, and international trade contracts should be signed or stamped by both parties), seller's name, and name of the goods.
未提交業(yè)績(jī)證明文件，或通過(guò)所提供的業(yè)績(jī)證明文件無(wú)法認(rèn)定滿(mǎn)足上述業(yè)績(jī)要求的，均視為無(wú)效業(yè)績(jī)。
If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

The interested Bidders may obtain the bidding document by following method: Please login at CNOOC Procurement Operation System (https://buy.cnooc.com.cn) on the page of Invitation for bid for purchasing Bidding document from Nov.14th, 2025 to Nov. 21th, 2025. For the first time of login, a registration (free of charge) is needed and only after successful registration, Bidder can purchase Bidding documents online.The bidder shall fill in the registration form for purchasing bidding documents online and pay online. After successful payment, the bidder can download the bidding documents by itself. The price of each set of bidding documents is RMB200 or USD30, and it is non refundable after sales. The deadline and method for submission of bid: All bids must be accompanied by a bid security as specified and must be submitted online on China International Bidding website (http://www.chinabidding.com) at or before 9:00 am (Beijing Time) on Dec.5th, 2025. 10. 提示Notes
投標(biāo)人進(jìn)入開(kāi)標(biāo)大廳后，需要進(jìn)行簽到操作，等待開(kāi)標(biāo)主持人指令。允許解密后，投標(biāo)人點(diǎn)擊解密按鈕進(jìn)行解密投標(biāo)文件（需解密前在電腦上插入當(dāng)前賬號(hào)綁定的CA），輸入正確的CA密碼。（請(qǐng)注意：如投標(biāo)人未在投標(biāo)截止時(shí)間/開(kāi)標(biāo)時(shí)間前進(jìn)行簽到，原則上將無(wú)法進(jìn)行解密，將被視為撤回其投標(biāo)文件。）
The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)
投標(biāo)文件解密時(shí)限為60分鐘。投標(biāo)人未在上述解密時(shí)限內(nèi)完成解密視為解密失敗，根據(jù)電子招標(biāo)投標(biāo)辦法的規(guī)定，視為投標(biāo)人撤回投標(biāo)文件。
The decryption time limit of the bid documents is 60 minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.
投標(biāo)人對(duì)開(kāi)標(biāo)有異議的，應(yīng)當(dāng)在開(kāi)標(biāo)現(xiàn)場(chǎng)提出，招標(biāo)人當(dāng)場(chǎng)做出答復(fù)，并制作記錄。未在線(xiàn)上開(kāi)標(biāo)現(xiàn)場(chǎng)提出的開(kāi)標(biāo)異議，不予受理。
Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
