normal style='text-indent:24.0pt;line-height:150%'>為充分發揮資本市場融資功能，盤活存量資產，優化資債結構，招標人擬開展權益并表型類REITs項目，發行規模預計不超過20億元，發行期限預計3+n年期（以最終發行方案為準），現擬聘用計劃管理人及銷售機構提供相關服務。

normal style='text-indent:24.0pt;line-height:150%'>擬選聘類REITs資產證券化項目計劃管理人1名，計劃管理人同時作為本項目的銷售機構。具體工作內容如下：
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（1）融資咨詢服務：對甲方發行資產支持證券提出切實可行的發行方案，包括資產篩選、交易結構、確定基礎資產規模及現金流、增信措施、財務影響等，優化甲方資債結構，降低發行綜合成本；協助甲方分析本項目所涉及的法律、財務、經營風險，提出對策和建議；協助甲方與其年審會計師溝通類REITs會計處理問題。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（2）選聘中介機構：負責選聘本項目（含存續期）必備中介機構，具體包括且不限于：審計機構、評估機構、評級機構、律師、稅務咨詢機構、綠色評估機構（如需）等其他項目推進必備機構（原始權益人由招標人指定的主體擔任，不需中標人選聘）。其中，審計機構及評估機構應當與招標人或其下屬子公司、中標人共同簽訂三方服務協議。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（3）盡職調查：負責牽頭組織各中介機構依法開展盡職調查工作，協調整體工作進度。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（4）申報材料編制、申報及發行服務：負責編制計劃說明書及其他資產支持證券發行主管機關要求的必要文件；負責統籌資產支持證券申報工作，包括擬定工作時間表協調律師事務所、信用評級公司、稅務咨詢機構、審計機構、評估機構及現金流測算機構等中介機構的工作進度等；設計資產支持證券發行方案，包括：發行規模、發行期限、發行方式、發行范圍及對象、收益分配方式及風險應對方案等；按照監管規則的要求提交申報資料，并積極溝通監管機構、跟進審核流程、答復審核反饋問題；牽頭組織本次資產支持證券的發行等工作，為本次融資尋找合格投資者。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（5）存續期服務：提醒甲方及相關方按時歸集資金、分配收益，并按規定對有關情況及時進行信息披露；除定期的相關信息披露外，在存續期內協助甲方及相關方就影響本期資產支持證券的外部因素、不可抗力及發行人自身因素引起的重大變化或重大事項，根據計劃說明書的約定及時進行信息披露；負責組織中介機構開展跟蹤評估、評級、綠色評估工作（如需）；根據項目需要，負責組織開展專項計劃到期清算、贖回、轉售等工作；根據專項計劃文件約定需履行存續期管理責任的其他事項。

normal style='text-indent:12.0pt;line-height:150%'>5.1 具有獨立的法人資格或其他組織，且具有獨立訂立合同的資格，具有經中國證券監督管理委員會核準的具有證券資產管理業務資格的批復文件或由中國證券監督管理委員會頒發的經營證券期貨業務許可證(證券期貨業務范圍須體現“證券資產管理”)（證明文件：提供相關資質證書副本的復印件，以證明報價人具有承擔本項目要求的資質并加蓋投標人公章或電子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.2 近十年至少做過一單類REITs資產證券化相關服務（證明文件：提供業績證明資料（合同/協議書封面頁、標的頁、簽章頁等并加蓋公章或電子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.3 沒有處于被責令停業，財產被接管、凍結，破產狀態（提供承諾函或其他相關證明文件并加蓋公章或電子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.4 經營狀況良好并具有良好的商業信譽；未被“信用中國”網站(www.creditchina.gov.cn)"列入失信被執行人、異常經營名錄的（提供承諾函或其他相關證明文件并加蓋公章或電子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.5 近36個月內不存在騙取中標、嚴重違約及因自身的責任而使任何合同被解除的情形（提供承諾函或其他相關證明文件并加蓋公章或電子章） ；
normal style='text-indent:12.0pt;line-height:150%'>5.6 法定代表人為同一人或者存在控股、管理關系的不同單位不得在同一標段投標；
normal style='text-indent:12.0pt;line-height:150%'>5.7 本項目不接受聯合體投標。

normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>1）平臺注冊、CA辦理：投標人在購買招標文件前須在深圳能源集團電子招標投標平臺完成注冊登記并審核通過，投標人要為注冊登記預留足夠的時間，由于投標人自身原因，截至招標文件發售時間尚未完成注冊登記審核，造成無法及時進行標書購買，后果由投標人自行承擔。投標人須在下載招標文件前完成數字證書（CA）的辦理，綁定CA后方可下載招標文件。投標人要為辦理CA預留足夠的時間，由于投標人自身原因造成無法投標的，由投標人承擔責任。

normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>3）招標文件澄清質疑：招標文件的質疑發出后請通過郵件或者電話方式通知招標代理，須同時提供可編輯版和蓋章版。澄清回復將在“深能招標平臺”線上發布。
normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>4）保證金：如投標保證金以電匯形式提交，請匯款后在深能招標平臺-項目管理-繳費支付功能進行費用綁定。如投標保證金以保函形式提交，請在深能招標平臺-項目管理-繳費支付功能上傳保函掃描件并提前郵寄投標保函正本，確保招標代理在截標前簽收。以電匯形式提交的保證金，默認原賬號退回。
